These Terms of Service govern your access to and use of UPMXS software and related services provided by Dimensional Loop.
By downloading, installing, accessing or purchasing UPMXS, you agree to these Terms.
1. About UPMXS
UPMXS (Universal Project Memory Exchange System) is software designed to help users create, organize, preserve and transfer structured project memory and project context.
UPMXS may include features for project knowledge, documents, assets, relationships, project progress, controlled updates, history, restoration and AI continuation or handoff.
2. 11-Day Full-Access Free Trial
UPMXS Personal includes an 11-day full-access free trial.
The trial allows you to evaluate the software, its features, compatibility and suitability for your needs before deciding whether to purchase a license.
At the end of the trial, continued licensed use of UPMXS requires purchase of an applicable license.
3. UPMXS Personal License
UPMXS Personal is currently offered for a one-time purchase. It is not a recurring subscription.
Purchasing UPMXS Personal grants you a personal, non-exclusive, non-transferable license to use the software in accordance with these Terms.
Purchase of a license does not transfer ownership of UPMXS, its source code, trademarks or other intellectual property to you.
4. License Activation
UPMXS may use license keys, activation records or similar technical measures to verify that the software is being used under a valid license.
You must not attempt to bypass, disable, modify or circumvent licensing or activation mechanisms.
5. Permitted Use
You may use UPMXS for your own lawful personal projects and project-memory workflows, subject to the license purchased.
You may not:
- sell, sublicense, rent or redistribute your UPMXS license;
- share a license key in a manner not permitted by your license;
- circumvent licensing or security mechanisms;
- use UPMXS for unlawful or fraudulent activities; or
- copy or distribute UPMXS itself except where expressly permitted by Dimensional Loop or applicable law.
6. Your Projects and Content
You retain ownership of the project information, documents, images and other content that you create or import into UPMXS.
You are responsible for ensuring that you have the necessary rights and permissions to use any content that you import, store, export or process using UPMXS.
7. AI Services and Third-Party Providers
UPMXS may allow you to exchange project information with artificial-intelligence systems or other third-party services.
Third-party services operate under their own terms, privacy policies, availability and technical limitations. Dimensional Loop does not control the operation or output of independent third-party AI services.
You are responsible for reviewing information before sending it to an external AI or third-party service.
8. Backups and Project Files
You are responsible for maintaining appropriate backups of important project files and information.
Although UPMXS is designed to help preserve project memory, no software or storage system can guarantee against every possible form of data loss, corruption, hardware failure or user error.
9. Software Updates and Support
Dimensional Loop may provide bug fixes, maintenance updates, improvements or other software updates for UPMXS from time to time at its discretion.
Purchase of a UPMXS Personal license does not include or guarantee lifetime updates, lifetime upgrades, lifetime technical support, or access to all future versions of UPMXS.
Certain updates may be provided without additional charge, while major versions, new products, premium features or separately offered services may require an additional purchase or separate license.
The availability, scope and duration of technical support may change over time. Unless expressly stated otherwise at the time of purchase, a UPMXS license does not include a commitment to unlimited or lifetime technical support.
Nothing in this section limits any support, remedy or software update that must be provided under applicable law.
10. Payments
Payments for UPMXS may be processed by Paddle, our authorized payment provider and Merchant of Record.
When Paddle processes a transaction, the purchase may also be subject to Paddle's applicable checkout terms, buyer terms, payment requirements and policies.
11. Refunds
UPMXS Personal provides an 11-day full-access trial so that you can evaluate the software before purchasing.
Because this evaluation period is provided before purchase, completed purchases are generally considered final, subject to applicable law and the policies of our authorized payment provider.

12. Intellectual Property
UPMXS, Dimensional Loop, associated software, branding, designs, documentation and other proprietary materials are owned by Dimensional Loop or their respective rights holders and are protected by applicable intellectual-property laws.
Nothing in these Terms grants permission to use Dimensional Loop or UPMXS trademarks, branding or proprietary materials except as necessary to use the software as intended.
13. Availability and Warranty Disclaimer
UPMXS is provided on an "as available" basis to the extent permitted by applicable law.
We work to provide reliable software, but we do not guarantee that UPMXS will be uninterrupted, error-free, compatible with every device or third-party service, or suitable for every particular purpose.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Dimensional Loop will not be liable for indirect, incidental, special or consequential losses arising from use of or inability to use UPMXS.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
15. Termination
Your right to use UPMXS may be suspended or terminated if you materially violate these Terms, misuse the software, engage in fraud, or circumvent licensing or security mechanisms.
16. Changes to These Terms
We may update these Terms as UPMXS, our services or legal requirements change.
The current version will be published on the Dimensional Loop website with its latest revision date.
